Terms of Service

1. Acceptance of Terms
Welcome to Quill Roster. These Terms of Service govern your access to and use of the Quill Roster website, applications, and services (the "Service") provided by Portage Systems ("we", "us", or "our"). By creating an account, using the Service, or processing a ticket purchase through an event page hosted on Quill Roster, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of Service
Quill Roster is an event production platform. Organizers can manage rosters, schedules, sponsors, and brand assets, and generate event websites, slide decks, printed programs, social share kits, sponsor prospectuses, surveys, and ticketing pages. The features available to you depend on your subscription plan and the settings enabled by your workspace.
3. Account Responsibilities
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must provide accurate information when you register and keep that information up to date. You may not share accounts or impersonate another person. If you suspect unauthorized access, notify us immediately at support@portage.systems.
4. Subscriptions and Billing
Quill Roster is offered on monthly and annual subscription plans. We offer a 30-day free trial for new workspaces. No credit card is required to start the trial.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Monthly plans renew every month. Annual plans renew every year. You can cancel anytime through the billing portal in your workspace settings. Cancellation takes effect at the end of the current billing period and you will not be charged again.
All payments are processed by Stripe. By subscribing, you authorize us to charge your selected payment method through Stripe. Fees are non-refundable except where required by law or as otherwise stated in these Terms.
5. Event Ticketing
Event organizers may use Quill Roster to sell tickets or collect free RSVPs for their events. Ticketing transactions are processed through Stripe Connect, which allows the organizer to receive payments directly into their own Stripe account. Portage Systems is the platform provider and is not the seller of tickets or the organizer of any event listed on the platform.
The organizer is solely responsible for their event, including its content, schedule, refund policy, cancellation, attendee communication, and compliance with applicable laws. If you purchase a ticket through a Quill Roster event page, any refund request must be directed to the event organizer. We may assist in facilitating refunds at the organizer's direction, but we are not obligated to refund ticket purchases ourselves.
6. Acceptable Use
You may not use the Service to violate any law, infringe intellectual property rights, distribute malware, send spam, harass others, or process payments for illegal goods or services. You may not attempt to interfere with the Service's security, performance, or availability. We may suspend or terminate accounts that violate these rules.
7. Customer Data and Content
You retain ownership of the data and content you submit to the Service, including attendee lists, speaker bios, sponsor logos, event descriptions, and survey responses. You grant us a limited license to use that data solely to operate, improve, and support the Service for you. We will not sell your contact lists or event data to third parties.
8. Intellectual Property
Quill Roster, its software, designs, templates, and branding are owned by Portage Systems and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription. You may not copy, reverse-engineer, or resell the platform itself.
9. Third-Party Services
The Service integrates with third-party services such as Stripe, Google, and Cloudflare. Your use of those services is subject to their own terms and policies. We are not responsible for third-party service outages or changes.
10. Service Availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted access or specific uptime. The Service may be temporarily unavailable for maintenance, upgrades, or reasons beyond our control. We will not be liable for any downtime.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your specific requirements or be error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Portage Systems will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim.
13. Termination
You may cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms, fail to pay when due, or if required by law. Upon termination, your right to use the Service ends, and we may delete your data after a reasonable retention period.
14. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Minnesota.
